EULA - End User License Agreement

By installing the Software you agree to the terms of this License Agreement.

M2SYS-Biometrics Suite License Agreement
This is a legally binding Agreement between you and "M2SYS, Inc.", a Japanese corporation and supersedes any purchase order placed by you. If you do not agree with the terms of this License Agreement, you promptly should return the disk package and any accompanying written materials to the place from which you obtained them for a full refund or otherwise M2SYS, Inc. regards you agree with the terms of this License Agreement when you use this software program:

1. Grant of License.
You are granted the nonexclusive right to use one (1) copy of this Software with each computer connected to the M2SYS, Inc. Product with which the Software was acquired. You ackowledge that all intellectual property rights including copyright thereof shall remain the sole property of M2SYS, Inc. You may make a single extra copy of the Software solely for each use of the Software authorized by this Agreement as a back-up copy or for on file. You may not copy the written or the electronic materials accompanying the Software.

2. Restrictions.
You may not remove or alter any M2SYS, Inc., Trademarks, logos, copyright notice or other property rights from the Software. You may not, nor may you allow anyone else to (i) disassemble, recompile or otherwise extract the source code from the Software; (ii) reverse engineer the Software; (iii) modify the Software in any respect; (iv) rent or lease the Software to a third party; (v) use the Software in any manner which would infringe upon the intellectual property rights of a third party. You may make a permanent transfer of the Software to a third party provided you retain no copies and further provided that such third party agrees to the terms of this Agreement.

3. Limitations Upon Liability; Exclusive Remedies.
"M2SYS, Inc." SHALL NOT BE LIABLE FOR ANY DAMAGE OR LOSS, WHETHER DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL (INCLUDING LOST PROFITS), ARISING OR RESULTING FROM YOUR USE OF THE SOFTWARE (INCLUDING DATA LOSS OR CORRUPTION OF DATA) REGARDLESS OF WHETHER SUCH LIABILITY IS BASED IN TORT, CONTRACT OR OTHERWISE. IN THE EVENT THE FOREGOING LIMITATION IS DETERMINED TO BE UNENFORCEABLE. THE REMEDIES PROVIDED TO YOU UNDER THIS AGREEMENT ARE EXCLUSIVE. BECAUSE SOME COUNTRIES OR STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. M2SYS, Inc. MAY TERMINATE THIS LICENSE AGREEMENT, EFFECTIVE IMMEDIATELY UPON NOTICE TO YOU, IF YOU OR OTHERS IN YOUR ORGANIZATION BREACH THIS AGREEMENT. UPON TERMINATION OF THIS LICENSE AGREEMENT ALL YOUR RIGHTS TO USE THE SOFTWARE WILL CEASE.
